Key Points

  • Strategic board-level advice only
  • No regulated financial activity
  • Quick-look reviews only (“Hold Harmless”)
  • Fees payable within 14 days
  • Liability capped at fees paid

1. Scope of Work

Akermoor Ltd provides strategic, board-level advisory services focused on Vision and Strategy.
We do not perform operational delivery, program execution, or regulated financial activity.

2. Restricted Activity Disclaimer

Akermoor Ltd does not:

  • Arrange or negotiate investments.
  • Approve or communicate financial promotions (FSMA 2000 s21).
  • Conduct regulated due diligence or investment analysis.
Any introductions are strictly introducer-only, not recommendations or promotions.

3. Due Diligence Limitation

Where Akermoor Ltd provides reviews, they are non-exhaustive, high-level assessments.
All such documents carry a HOLD HARMLESS notice and must not be relied on as audits or verifications.

4. Fees and Payment

Our engagement letter or proposal will set out the fee structure for each assignment. Fees may be agreed as a project total, retainer, or daily rate. Akermoor Ltd is not VAT registered, so no VAT is charged unless that status changes.

  • Invoices are issued monthly in arrears unless otherwise stated.
  • Payment is due within 14 calendar days of the invoice date.
  • We reserve the right to suspend work where invoices remain unpaid and to charge interest on overdue sums at 4% per annum above the Bank of England base rate.
  • Any variation to scope requested by you will be costed and agreed before additional work commences.

5. Expenses and Third-Party Costs

We may charge for pre-approved expenses such as travel, accommodation, or specialist research. Receipts will be provided upon request. We do not procure third-party suppliers on your behalf and any external costs will be contracted directly between you and the supplier.

6. Client Responsibilities

You agree to:

  • Provide timely access to relevant personnel, information, and systems necessary for us to perform the services.
  • Ensure that information supplied is accurate and complete to the best of your knowledge.
  • Designate a primary contact who is empowered to give instructions and approvals.
  • Retain responsibility for decisions, regulatory compliance, and implementation actions arising from our advice.

7. Deliverables and Reliance

Our outputs—whether verbal, written, or presented—are advisory in nature and intended to inform your own decision-making.

  • Deliverables are prepared for your internal use only and must not be disclosed to third parties without our prior written consent.
  • Any distribution you authorise must include the original HOLD HARMLESS wording and attribution to Akermoor Ltd.
  • We do not provide warranties on future performance, funding outcomes, or regulatory approvals.

8. Confidentiality

Each party will keep confidential all information disclosed by the other that is marked or reasonably understood to be confidential. This obligation does not apply to information already in the public domain, independently developed, or legally required to be disclosed. We may refer to the fact of our engagement (without disclosing confidential details) for credentials purposes with your consent.

9. Intellectual Property

Pre-existing intellectual property of either party remains with that party. You receive a non-exclusive, non-transferable licence to use our deliverables for your internal business purposes. We may reuse general methodologies, know-how, and non-confidential learnings developed while providing the services.

10. Conflicts of Interest and Introductions

We will notify you of any potential conflicts that arise and work with you to agree appropriate mitigations. Any introductions we make to investors, partners, or suppliers are provided on an introducer-only basis. You are responsible for conducting your own diligence and entering into any subsequent agreements directly.

11. Anti-Bribery and Ethical Conduct

Both parties shall comply with applicable anti-bribery, corruption, modern slavery, and tax evasion laws. We will maintain policies and training proportionate to our size and risk profile. You warrant that no request will be made that would cause us to breach such obligations.

12. Data Protection

Each party acts as an independent controller for personal data it processes under this engagement. We process limited personal data in line with our Privacy Policy. You warrant that any personal data you share has been collected lawfully and that we may use it solely to deliver the services. Each party will implement appropriate technical and organisational measures to safeguard personal data.

13. Liability

Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot legally be limited. Subject to the foregoing:

  • Our total aggregate liability arising out of or in connection with the services is limited to the greater of £50,000 or two times the fees paid in the 12 months preceding the claim.
  • We are not liable for any loss of profit, revenue, anticipated savings, data, or any indirect or consequential loss.
  • You agree to indemnify us against claims brought by third parties arising from your use of our advice contrary to these terms.

14. Insurance

We maintain professional indemnity and public liability insurance appropriate to the services provided. Evidence of cover is available on request.

15. Termination

Either party may terminate the engagement on 14 days' written notice. Either party may terminate immediately if the other materially breaches these terms and fails to remedy the breach within 7 days of notice. On termination you will pay for all work completed up to the termination date and any unavoidable committed expenses.

16. Governing Law and Jurisdiction

These terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from them.

17. Notices

Formal notices shall be sent by email to legal@akermoor.co.uk or by recorded delivery to the registered office addresses set out above. Notices are deemed received one business day after email transmission or two business days after posting within the UK.
